Telecommunications Consultants India Limited
         (A Government of India Enterprise)


The company was promoted with Delhi State Industrial and Infrastructure Development Corporation (DSIIDC) as the major stake-holder. TCIL had made an investment of Rs.3.6 million in ICSIL towards equity. ICSIL is IS/ISO 9001:2008 certified Company and is executing projects in the area of supply of hardware and other computer peripherals to Delhi government and to various other government departments. The Company is also executing high tech projects in networking and software. The Company has continuously improved its performance and expanded its area of operations throughout the year. The Turnover of the Company during the year 2012-13 was Rs. 527 Million and Profit after Tax was Rs. 14 Million.


In TCIL Oman LLC, our holding is 70% of the equity along with M/s Mustafa Sultan Enterprise LLC (MSE), which is holding 30% shares in this Company. M/s MSE is in the process of selling its stake to M/s National Telephone Services Company LLC, Oman (NTS) owing to which TCIL will be executing a fresh Joint Venture Agreement with M/s NTS.

Tamilnadu Telecom Ltd.

TTL was established in the year 1988 in association with Tamilnadu Industrial Development Corporation (TIDCO) and M/s Fujikura of Japan for manufacture of Telecom Cable. TTL is a sick company and a scheme of rehabilitation as approved by BIFR as well as Cabinet is under implementation. TCIL's stake in TTL is 49%. The performance of the company during the year 2012-13 has also not been satisfactory. During the year, the Company has mainly executed BSNL orders as well as some small orders. The Turnover of TTL is Rs. 163 Million and the Company incurred a loss of Rs. 85 Million in the year 2012-13.

TCIL Bina Toll Road Limited

TCIL Bina Toll Road Limited (TBRTL) is a wholly owned subsidiary of Telecommunications Consultants India Ltd (TCIL) and has been incorporated on 11.07.2012 with the object of execution of Bina-Kurwai-Saronj Toll Road Project on design, built, finance, operate and transfer (DBFOT) basis.

TBL International Ltd. (TBL)

In 1989, TCIL has invested a sum of Rs.8.37 Million which is 44.9% of its equity capital and at present, TBL India LLC is holding 40% and DSS Enterprises is holding 15.1% shares in the Company. The company is not doing well since its product has become outdated in the market. Efforts are being made to revive the company. The major projects executed by TBL include Pan African e-Network Tele Medicine Project and also Telecom Software Projects. The Company achieved a Turnover of Rs.14.2 Million and a Profit after Tax of Rs.3.28 Million.

Bharti Hexacom Limited

At present TCIL and Bharti Airtel Limited (BAL) are holding shares in the ratio of 30:70 in BHL. TCIL has made an investment of Rs.1062 Million in TCIL is a phased manner. The company achieved turnover of Rs.37859 Million and Profit after Tax of Rs. 5,821 Million during the year. The Company has declared a Dividend @ 20% on the paid up capital of the Company, which includes 15% as Interim Dividend.

TCIL Saudi Co. Ltd. (TSCL)

TCIL is holding 40% equity and M/s NESMA Group is holding 60% equity in TSCL. The Company was established in the year 1993 to undertake the various Telecom Projects in Saudi Arabia. Govt. of India has approved the proposal of TCIL's acquisition of 60% of shares from NESMA Group. The acquisition of shares by TCIL from NESMA Group is in progress. After completion of acquisition of these shares, TSCL will become a wholly owned subsidiary of your company.

United Telecom Limited

In 2001, TCIL in association with MTNL, VSNL (Presently Tata Communications Ltd.) and a local partner viz. Nepal Ventures Pvt. Ltd. Formed a JV Company called United Telecom Limited to provide WLL based basic telecom services in the Kingdom of Nepal. Presently, the Company provides basic mobile, NLD, ILD and Data Services in Nepal. During the year ending December 31, 2012, the Company achieved a Turnover of Rs. 553 Million and booked a loss of Rs. 85 Million.
