In this subsidiary, TCIL's equity stake is 70% and M/s Mustafa Sultan Enterprise LLC (MSE) was holding 30% shares. During the year under review, M/s MSE sold its stake to M/s National Telephone Services Company LLC, Oman (NTS). Accordingly, a fresh Joint Venture Agreement with M/s NTS has been executed.

Tamilnadu Telecommunications Ltd. (TTL)

TCIL in order to diversify its activities in the field of Telecom cable manufacturing formed a JV company in the year 1988 initially in association with Tamilnadu Industrial Development Corporation (TIDCO). Later on, M/s Fujikura of Japan, who is also a technical know how partner, invested in TTL and became the JV partner. Subsequently, as per the appoved Draft Rehabilitation Scheme (DRS), TCIL's stake in TTL has been increased to 49%. TTL is a listed company. Even after, the implementation of rehabilitation scheme, the performance of the company has not improved. During the year, the Company has mainly executed BSNL orders as well as some small orders from other clients. The Turnover of TTL is Rs. 138 Million and the Company incurred a loss of Rs. 102 Million in the year 2013-14.

TCIL Bina Toll Road Limited

TCIL Bina Toll Road Limited (TBRTL) is a wholly owned subsidiary of TCIL and the company has been incorporated on 11.07.2012 with the object of execution of infrastructure project namely Bina-Kurwai-Saronj Toll Road on design, build, finance, operate and transfer (DBFOT) basis. The Company has received Provisional Completion Certificate and has started collecting Toll from April 2014.

TCIL Lakhnadone Toll Road Limited

TCIL had been awarded under the competitive bidding a contract for construction of Lakhnadone-Ghansore Road Project on Build, Operate, and Transfer (BOT) basis by Madya Pradesh Road Development Corporation (MPRDC). As per the requirement of MPRDC, a special purpose vehicle (SPV) was required to be formed. Accordingly, the company was formed on 21.08.2013 with the name' TCIL Lakhnadone Toll Road Ltd. (TLTRL) as a wholly owned subsidiary of TCIL. The construction of road is in full swing and the same is likely to be completed by the end of December 2014.

Joint Ventures Companies
TBL International Ltd. (TBL)

TCIL has also invested Rs. 8.37 Million for 44.94% shareholding in this JV Company. The other shareholders viz TBL India LLC is holding 40% and DSS Enterprises is holding 15.1% shares in the Company. The major projects executed by TBL include Pan African e-Network Tele Medicine Project and Telecom Software Projects. The Company achieved a Turnover of Rs.26.22 Million as against last year Turnover of Rs 14.26 Million. The profit after tax of the company has also increased to Rs 6.02 Million from the previous year profit of Rs 3.28 Million.

Bharti Hexacom Limited

Bharti Hexacom Ltd. is another Joint Venture company, which was incorporated in 1995 to operate cellular mobile services in the state of Rajasthan and North East. At present TCIL and Bharti Airtel Limited (BAL) are holding shares in the ratio of 30:70 in BHL. TCIL has made an investment of Rs. 1,062 Million in BHL in a phased manner. The year 2013-14 has been another year of steady growth in performance in terms of both turnover and profit. The company achieved all time high Turnover of Rs. 41,364 Million as against last year turnover of Rs 37,859 Million and Profit after Tax has also improved to Rs 6,036 Million as compare to previous year figure of Rs 5,821 Million. BHL has declared a Dividend @ 20% on the paid up capital of the Company. As on 31.03.2014, the company had 19,054,804 customers which includes 19,017,216 customers in mobile service and 37,588 customers in Broadband and Telephone Services.

TCIL Saudi Co. Ltd. (TSCL)

TCIL Saudi Company Limited was incorporated in 1993 for carry out various Telecom Projects in Saudi Arabia. Govt. of India has approved the proposal of TCIL's acquisition of 60% of shares from NESMA Group. The acquisition of shares by TCIL from NESMA Group is in progress. After completion of acquisition of these shares, TSCL will become a wholly owned subsidiary of your company.

United Telecom Limited

This JV Company has been formed by TCIL in 2001 along with MTNL, VSNL (Presently Tata Communications Ltd.) and a local partner viz. Nepal Ventures Pvt. Ltd. for providing WLL based basic telecom services in the Kingdom of Nepal. TCIL is holding 26.66% in this company. Presently, the Company provides basic mobile, NLD, ILD and Data Services in Nepal. UTL brought out 9th Tranche Right Issue during July, 2014. However, due to fund constraints, TCIL declined to subscribe to the same. Discussions are underway among JV Partners to meet long term funding requirements of UTL to enable acquisition of unified license and roll out of Network Expansion plan. During the year, the turnover of the Company is Rs 242.7 Million and booked a loss of Rs. 267.96 Million.

TCIL had made an investment of Rs.3.6 million in ICSIL towards equity. The company was promoted with Delhi State Industrial and Infrastructure Development Corporation (DSIIDC) as the major stakeholder. ICSIL is IS/ISO 9001:2008 certified Company and is executing projects in the area of supply of hardware and other computer peripherals to Delhi government and to various other government departments. The Company is alsoexecuting high tech projects in networking and software. The Company has continuously improved its performance and expanded its area of operations throughout the year. The Turnover of theCompany during the year 2013-14 was Rs.632.56 Million as against last year figure of Rs.527.21 Million. The profit after tax has also increased to Rs.19.39 Million as compared to previous year profit of Rs.14.25 Million. The company has declared a dividend of 20% of paid up capital of the company.
